How these matters typically proceed

Under the Civil Code, a contract requires three essential requisites: the consent of the parties, an object (the thing or service involved), and a cause (the reason each party undertakes the obligation). An agreement missing any of these may not be enforceable.

The law allows parties to set their own terms — the principle of autonomy of contracts — provided those terms are not contrary to law, morals, or public policy. When a party breaches, the remedies generally include specific performance (compelling the agreed act) or rescission (unmaking the contract), in either case with damages where the breach caused loss.
